User Content License – Terms and Conditions

You hereby grant Cat Person Inc. and its affiliates (collectively, “Cat Person”, “we”and “us”) a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, truncate, aggregate, reproduce, distribute, prepare derivative works of, display, perform and otherwise fully utilize, for commercial purposes or otherwise, your User Content (as defined below) in connection with our (and our successors’ and assigns’) businesses, including, without limitation, for promoting our (and our successors’ and assigns’)businesses in any media formats and through any media channels. For clarity, the foregoing license grants do not affect your other ownership or license rights in yourUser Content, including the right to grant additional licenses to your User Content, unless otherwise agreed in writing. “User Content” means any materials, content, photos, illustrations, videos, comments or information relating thereto, that you post, upload, share, store or otherwise provide through the Cat Person website(s),social media accounts, services or applications.

You represent and warrant that you have all rights to grant such licenses to us without infringement or violation of any third party rights, including, without limitation, any privacy rights, publicity rights, copyrights, trademarks, contract rights, or any other intellectual property or proprietary rights. You are solely responsible for your User Content and you represent that your User Content is accurate, complete, up-to-date and in compliance with all applicable laws, rules and regulations. You will indemnify and hold harmless Cat Person from and against any claims arising out of a breach or alleged breach of the foregoing representations and warranties.

You understand and agree that Cat Person may make changes to your User Content in its sole discretion, and the foregoing licenses include the rights to do so.

You acknowledge and agree to the above in consideration of the opportunity given to you by Cat Person to have your User Content appear on Cat Person’s website(s)or in its promotional materials.

You acknowledge that you have fully read and understand these Terms and Conditions and you certify that you are at least 18years of age.
